End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“End User,” “you,” or “your”) and Illumify and its affiliates (“Illumify,” “we,”“our,” or “us”) that governs your access to and use of Illumify’s licensed software, including any updates, upgrades, documentation, or associated materials (collectively, the “Software”). By downloading, installing, or using the Software, you agree to be bound by this Agreement.

1. Acceptance of the Agreement

By accessing or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to the terms of this Agreement, you may not access or use the Software.

2. License Grant

Subject to the terms of this Agreement, Illumify grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your internal business purposes.

You may not:

  • Copy, modify, or create derivative works based on the Software.
  • Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the Software, except as permitted by law.
  • Rent, lease, sublicense, distribute, or otherwise transfer any rights to the Software.
  • Use the Software to develop competing products or services.

3. Ownership of Intellectual Property

Illumify retains all ownership rights, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to trademarks, logos, or other branding used in connection with the Software.

4. Software Updates

Illumify may provide updates, patches, or enhancements to the Software from time to time. You agree that these updates may be automatically installed without further notice or consent.

5. Restrictions and Prohibited Use

You agree not to:

  • Use the Software in violation of any applicable laws or regulations.
  • Circumvent or disable any security features of the Software.
  • Use the Software to upload, store, or transmit any malicious code or unlawful materials.

6. Data Collection and Privacy

The Software is provided “as is” and “as available,” without warranties of any kind, express or implied. Illumify expressly disclaims all warranties, including but not limited to:

To the maximum extent permitted by law:

  • Illumify shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Software.

You agree to indemnify and hold harmless Illumify and its affiliates from any claims, damages, losses, or expenses (including attorney’s fees) arising out of your use of the Software, your violation of this Agreement, or your violation of applicable laws.

10. Termination

This Agreement is effective until terminated. Illumify may terminate this Agreement immediately if you violate any of its terms. Upon termination:

  • You must immediately stop using the Software and delete all copies of the Software in your possession.
  • Any provisions of this Agreement that by their nature should survive termination will remain in effect.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of laws principles. Any disputes arising under this Agreement shall be resolved through binding arbitration or in the courts of [Insert State], as permitted by applicable law.
